30th October – Vilhena Funds SICAV plc: AGM to be held.

 

3rd October – FIMBank plc announced that Massaleh Investments K.S.C.C. has today acquired 18,838,319 ordinary shares in the Company held by Global Financial Holdings N.V. (a fully owned subsidiary of Massaleh Investments K.S.C.C. and also a qualifying shareholder of the Company). The transaction was executed by means of a Special Trade carried out in accordance with the bye-laws of the Malta Stock exchange.

 

2nd October - Middlesea Insurance plc announces that it has disposed of its entire shareholding in the Malta International Training Centre with effect from the 1 October 2007 and therefore with effect from the said date the Malta International Training Centre is no longer a subsidiary of Middlesea Insurance plc.

 

2nd October - Bank of Valletta p.l.c. (BOV) was informed by a communication dated 28th September 2007 received from Capitalia S.p.A. and UniCredito Italiano S.p.A. that the shareholders’ meetings of Capitalia S.p.A. and UniCredito Italiano S.p.A. resolved upon merger by way of incorporation of Capitalia into UniCredito. The Merger will become effective as of October 1st 2007. As a result of the Merger, UniCredito - as incorporating company – will assume by virtue of law and without interruption all assets, liabilities, rights and obligations already held by Capitalia, keeping on all legal relations of the latter, including the 16,128,000 ordinary shares of Lm0.25 cents each fully paid up, representing 14.55% of the entire share capital in Bank of Valletta p.l.c. presently held by Capitalia.

 

1st October - The Malta Stock Exchange has been informed that the Government of Malta intends to issue fungible stocks. In this regard, the Treasury has instructed the MSE to suspend trading in the following stocks:

5.% Malta Government Stock 2021 (I); 5.7% Malta Government Stock 2012 (III) as from tomorrow’s trading session Tuesday, 2nd October 2007 and until further notice


September 2007

26th September – The Board of Directors of Simonds Farsons Cisk p.l.c. today approved the group’s financial statements and half yearly report for the six month period ending on 31st July 2007. A copy of the financial statements and report for the period 1st February 2007 to 31st July 2007 are available to the public on www.farsons.com. The Board of Directors of Simonds Farsons Cisk plc also resolved to distribute, out of tax exempt profits, an interim dividend of Lm0.003889 per share on all ordinary shares of Lm0.125 each. This dividend will be paid on 19th October 2007 to the ordinary shareholders on the Register as at the close of business on 5th October 2007.

25th September - Maltacom plc announced that Mr. Norbert Prihoda has been appointed as Chief Mobile Operations Officer with effect from the 15th October 2007. Mr. Prihoda shall have the overall responsibility for mobile operations and for executing the Company’s policies as established by the Board of Directors.

20th September - The Board of Directors of Maltacom p.l.c. is scheduled to meet to discuss the Company’s Half-Yearly Financial Statements for the period 1st January 2007 to 30th June 2007.

12th September - Following the company announcement issued on the 30 July 2007, the Company wished to inform the public that Mr Roger St John Hutton Lewis is the chairman of the Berkley Group Holdings plc, a FTSE 250 listed company listed on the London Stock Exchange (and not as incorrectly stated, the Malta Stock Exchange); and Mr Trevor Ash is a non-executive director of the Company.

6th September - GlobalCapital plc announced that, Mr. Adrian Galea has been appointed Chief Officer – Human Resources with effect from 10 September 2007. As a result of this appointment Mr. Galea will be sitting as a member on the Company’s Executive Committee.

5th September - International Hotel Investments p.l.c. (IHI) announces that Istithmar Hotels FZE (Istithmar) of Dubai has paid in the final tranche due on Istithmar’s acquisition of 178 million ordinary shares, issued pursuant to the Subscription Agreement signed on 5th December 2006.

4th September - The Board of Directors of Mariner Finance plc approved the Half Yearly Report for the period ended 30th June 2007, a copy of which is available for viewing at Suite 2, 23 Pietro Floriani Street, Floriana.

3rd September – Lombard Bank plc announced that Cabinet has approved the purchase of 700,000 Ordinary Shares of Lm1 each, representing 25% of the Issued and Paid-up share capital of Maltapost p.l.c., by Redbox Limited, a wholly-owned subsidiary of Lombard Bank Malta p.l.c.

3rd September - On August 9, 2007 Grand Harbour Marina plc announced that, as a result of the acceptances received to the mandatory offer for all of the shares of the Company made by Camper & Nicholsons Marina Investments Limited, the Company's free float would fall below the 25 per cent threshold considered by the Listing Authority, in the absense of exceptional circumstances, as the minimum for the Company to retain its listing. The Company, in line with its commitments towards shareholders requested the Listing Authority to consider whether there were sufficient grounds for a dispensation and to maintain its listing on the Malta Stock Exchange. The Company now wishes to announce that the Listing Authority has granted the required dispensation for the Company to maintain the listing of its shares on the Malta Stock Exchange.

1st August - HSBC Life Assurance (Malta) Limited has on the 26 July 2007 increased the Issued Share Capital by three million Maltese Liri (Lm3,000,000) divided into six million (6,000,000) ordinary shares of fifty cents (Lm0.50) each fully paid up. The shares were fully subscribed by HSBC Bank Malta p.l.c. The share capital was increased by an injection of capital in cash by the parent company HSBC Bank Malta p.l.c.

 

July 2007

31st July - The Board of Directors of Hotel San Antonio plc have approved the company's annual report and financial statements for the year ended 31st December 2006. 30th July – The Board of Directors of HSBC Bank Malta plc approved the Group’s and the Bank’s Interim Accounts for the half-year ending 30 June 2007. The Board also declared the payment of an ordinary interim dividend of 6.6 cents gross per share and additionally a special dividend of 4.0 cents gross per share (total interim dividend, 10.6 cents gross per share).

30th July - Lombard Bank Malta p.l.c. announces that its wholly-owned subsidiary Redbox Limited has entered into an Agreement with the Government of Malta for the acquisition of seven hundred thousand (700,000) Ordinary Shares of Lm1 each, representing 25% of the Issued and Paid-up share capital of Maltapost p.l.c. The Agreement is subject to Cabinet approval. This acquisition will raise the shareholding of Redbox Limited to 60% effectively resulting in Maltapost becoming a subsidiary of Lombard Bank Malta plc.

 

27th July – The Board of Directors of Malta International Airport plc approved the interim unaudited financial statements for the financial period 1st January to 30th June 2007. 26th June – Reference is made to the Company Announcement issued on the 27th September 2006, wherein Maltacom plc announced that it would appeal against the decision by the Malta Communications Authority imposing on the Company an administrative fine of Ten Thousand Malta Liri (Lm 10,000) and a daily fine of Two Hundred Malta Liri (Lm 200) until the date when the Company signs an Interconnection agreement and provides effective interconnection  to Melita Cable plc. The Company announces that the Communications Appeal Board has issued a decision upholding Maltacom’s appeal from the decision of the Malta Communications Authority. The decision is subject to a further appeal on points of law.

 

22nd June - Grand Harbour Marina plc Announces the execution of the share sale and purchase agreement by Camper & Nicholsons Marina Investments Limited to purchase and acquire from Portosalvo Holdings Limited; V&F Portelli Limited; Nick Maris and Simon J. 6th June - Consequent to the resolutions approved by the International Hotel Investments plc EGM held on 31st

January 2007, and the subsequent fulfilment on 29th May 2007 of the conditions required for conclusion of the Subscription Agreement dated 5th December 2006 entered into by and between IHI, CPHCL and Istithmar Hotels, IHI has acquired the entire shareholding of Corinthia Towers Tripoli Limited, the Maltese company owning the Corinthia Bab Africa Hotel in Tripoli, Libya, and Corinthia Towers s.r.o., the Czech company owning the Corinthia Towers Hotel in Prague, the Czech Republic. These acquisitions have been effected against the issue and allotment to CPHCL of 192 million Ordinary Listed shares of 1 Euro each in IHI, in addition to the payment by IHI to CPHCL of Euro 15 million in cash.

Concurrently with the above, pursuant to the terms of the said Subscription Agreement, IHI has issued and allotted 178 million Ordinary Unlisted shares of 1 Euro each to Istithmar, of which up to the date of this announcement Euro 44.5 million (representing 25 per cent of the nominal value) have been paid-up, with the remaining Euro 133.5 million to be paid by Istithmar by 30th August 2007. Furthermore, on 4th June 2007 IHI capitalized Euro 4,961,223 from its revaluation reserves through the issue of 4,961,223 fully-paid up bonus shares of a nominal value of Euro 1 per share, in accordance with the terms detailed in the previous IHI company announcement dated 29th May 2007.

1st June – Datatrak Nigeria Ltd has been offered a telecommunications license by the Nigerian Communications Commission authorising it to operate a telecommunications network in the territory of Nigeria, subject to the payment of the relative licence fee. The said licence is for a period of five years.

31st May - Maltacom p.l.c. announces that Mr. Michael Warrington has been appointed as a non- Executive Director of the Company with effect from the 30th May 2007.

 

29th May – International Hotel Investments p.l.c. held its 7th AGM when the shareholders approved all the resolutions on the Agenda. The Meeting was informed that all the conditions precedent included in the subscription agreement signed with Istithmar FZE and Corinthia Palace Hotel Company Limited (CPHCL) on 5th December 2006 have now been satisfied. To this end, Istithmar is subscribing to 178 million unlisted shares, which, in terms of the subscription agreement are being 25 per cent paid-up on subscription with the balance being fully paid-up by August 2007, while CPHCL is subscribing to 192 million new shares in IHI in return for the acquisition of the entire share capital of the companies owning the Corinthia Bab Africa Hotel and  Commercial Centre in Tripoli, and the Corinthia Towers Hotel in Prague.

As agreed at the Extraordinary General Meeting held on 31st January 2007, IHI will capitalise an amount not exceeding Euro 5,000,000 from its revaluation reserves through the issue of fully-paid up Bonus Shares of a nominal value of Euro 1 each.

The Bonus Shares will be issued and allotted in a ratio of one Bonus Share for every six ordinary shares. The allotment of Bonus Shares will be made on the basis of the shares in issue as at 30th June 2006 (with Corinthia Palace Hotel Company Limited waiving its rights to such Bonus Shares) to members holding such shares as at the Effective Date, being the close of trading on 30th May 2007, the working day subsequent to closing of the transaction with Istithmar Hotels FZE. Shareholders entitled to these Bonus Shares have the option to sell all or part of these Bonus Shares back to IHI, and IHI is committed to buy back such shares at Euro 1 per share within six weeks from the Effective Date, that is, by 11th July 2007.

23rd May - FIMBank p.l.c. announces that all regulatory approvals have now been finalised and Mr. Pierre–Olivier Fragnière’s appointment as non-executive Director of the Company is confirmed. Mr. Fragnière’s appointment fills the vacancy created by the retirement of Mr. Mehdi Ouazzani from his position as Director.

 

23rd May – Malta International Airport plc announced that Mr. Michael Hoeferer has ceased to be a non-executive Director of the Company and Chairman of the Board of Directors. Mr John Ellul Vincenti has also ceased to be a non-executive director of the Company following the expiry of his term of office. Mr. Michael Bianchi and Mr. Markus Klaushofer have been appointed non-executive Directors of the Company, with effect from the Annual GeneralMeeting of 12 April 2007. By virtue of the amendment effected to the memorandum and articles of association of the Company at the Annual General Meeting, Mr. Julian Jaeger, as the Chief Commercial Officer of the Company, has been appointed executive Director of the Company, with effect from 12 April 2007.

 

23rd May - Maltacom p.l.c. announced that results for the first four months of the year confirm trends already evident throughout last year. The group continues to experience strong growth in retail mobile services which to a great extent is mitigating the negative impact, already being experienced, arising from the process driven by the EU leading to the regulation of roaming activity. Fixed line services continue to experience growth in broadband services, although this growth does not compensate for the continued decline in traditional fixed line services. Earlier this year Maltacom also completed the acquisition of DTTV operator Multiplus. During the period under review, the Group is carrying out a programme of streamlining its business activity, as well as driving cost control initiatives.

 

23rd May – International Hotels Investments plc announced that during the period commencing 1 January 2007 and the date of this announcement, it focused on achieving the objectives outlined in its 2006 Annual Report and Financial Statements. The acquisition process of the Corinthia Bab Africa Hotel and Commercial Centre in Tripoli and the Corinthia Towers Hotel in Prague from Corinthia Palace Hotel Company Limited for a total consideration of Euro 312million is well underway. Once these two transactions are finalised, the conditions precedent to the capital injection of Euro 178 million by Istithmar FZE, to be used for the acquisition of additional hotel properties, would have been fulfilled, paving the way to the issue and allotment of 5 million Bonus Shares as approved at the Company’s Extraordinary General Meeting held on 31 January 2007.

 

22nd May - Medserv plc announced that from the commencement of trading in the current financial year the intensive activity expected in the oil industry offshore Libya has been delayed in coming on stream. This has led to a slowdown in the Company’s operations which has adversely affected the Company’s financial performance. However the Company’s financial stability remains sound and well able to sustain the temporary slowdown in business experienced by it and its Controlled Undertaking, Medserv Operations Limited. The directors believe that the delay in the commencement of a number of operations and the award of contracts should only have a transient effect on the Company, and this should merely postpone matters to the third or fourth quarter of the current financial year. In the meantime the Company has now registered the Libyan subsidiary with a 60% equity interest for the operation and management of its base in Misurata that will enable it to take on new business. A number of existing and new customers are in discussions with the Company with regard to the provision of services there and commencement of operations in Misurata is targeted for the end of June 2007.

 

18th May - HSBC Bank Malta plc announced that it has made solid progress to date in 2007. The bank continues to explore growth opportunities across all customer segments. Profit before tax, net interest income and non-interest income show good improvement over the same period in 2006. Net interest income includes interest recognised on a sizeable exposure previously categorised as non-performing. Against a background of strong income flows, the bank has succeeded in keeping operating expenses under tight control. A number of customer focused initiatives have been started to reduce operational costs and improve customer service delivery. Overall, credit quality remains sound. Growth in loans and advances during 2007 has been largely mortgage-related. Balance sheet growth has been driven by increased customer deposits and the issue of a subordinated bond.

 

18th May – FIMBank plc announced that during the financial period commencing on 1 January 2007 and the date of this Announcement, no material events and/or transactions have taken place that would have an impact on the financial position of the Company and its controlled undertakings such that they would require specific mention, disclosure or announcement pursuant to the applicable Listing Rules. During the period under review, the financial position of the Company has remained sound and the performance has been in line with the trend (a) experienced for the financial year ended 31st December 2006, and (b) considered in the outlook for the year 2007, as reported in the Audited Financial Statements of FIMBank Group approved by the Annual General Meeting of its shareholders on 12 April 2007.

 

14th May – Hotel San Antonio plc announced that Mr Edgar Borg, resigned from the board of directors of Hotel San Antonio plc with effect from the 10th May 2007.

14th May - Datatrak Solutions Ltd, a subsidiary of Datatrak Holdings plc announced that the Company has concluded a contract with Euro Car Parts Ltd whereby dispatchIT, a fleet management and job dispatch solution developed by Datatrak Solutions Limited, shall be running on 450 mobile units at Euro Car Parts. Included in the agreement with Euro Car Parts is the adoption of DispatchIT’s mobile sales force functionality which will be in use by Euro Car Parts’ sales force of 80 mobile sales persons.

7th May – Grand Harbour Marina plc approved the financial statements for the financial year ended 31 December 2006 and announced the appointment Dr Louis de Gabriele as Company Secretary.

 

April 2007

27th April – The Board of Directors of the Bank of Valletta p.l.c. approved the Group’s and the Bank’s interim financial statements for the half year ended 31st March 2007, and declared an interim dividend of 6.75c per share to shareholders appearing on the Register of Shareholders as at close of business on Thursday, 10 May 2007.

 

26th April – The Board of Directors of Middlesea Insurance p.l.c approved the annual results for 2006, and recommended a final ordinary dividend of 4c5 per shares to be paid to shareholders as appearing on the Register of Shareholders as at close of business on Monday, 28 May 2007.

25th April – FIMBank plc announced that, following successful conclusion of the due diligence procedures, a suitable basis of understanding could not be reached between the Board of the Company and Burgan Bank in regard to the level of “substantial shareholding” that would be in the mutual best interest of both institutions, the Board of Directors of FIMBank plc agreed to note that the interest of Burgan Bank in the offer will not be pursued any further.

 

24th April - The Board of Directors of Datatrak Holdings p.l.c, approved the Financial Statements for the period ended 31st December 2006. Shareholders whose name is on the register of members at close of business on the 30th April 2007 are entitled to attend and vote at the forthcoming AGM to be held on 1st June 2007.

 

20th April – The Board of Directors of International Hotel Investments Plc approved the Financial Statements for the period ended 31st December 2006.

 
20th April - International Hotel Investments p.l.c. (IHI) announced that it has met the majority of the conditions precedent required for the subscription to new shares by each of Istithmar Hotels FZE of Dubai and Corinthia Palace Hotel Company Limited (CPHCL), and that the formal issue of the shares in question is anticipated in the coming weeks. The formal closing of the share issue to each of Istithmar Hotels and CPHCL is to be completed in May, and to this end, each of the parties to the Subscription Agreement signed on 5th December 2006, have extended their commitments to the fulfilment of their obligations. Following closure of this transaction, IHI is also issuing 5,000,000 bonus shares to current shareholders, as per the terms and conditions as approved at the EGM held on 31st January 2007.

 

19th April – HSBC Bank Malta plc AGM held.

 

18th April – The Board of Directors of Simonds Farsons Cisk plc will meet to consider and declare the distribution of an Interim Dividend on all Ordinary Shares of 12c5 each held by shareholders on the Register as on Monday, 30th April 2007.

 

13th April – FIMBank plc AGM held.

 

12th April – Malta International Airport plc AGM held.

 

2nd April - The Board of Directors of Maltacom p.l.c. approved the Preliminary Statement of annual results for the financial year ended 31st December 2006. The Board of Directors further resolved to recommend that the AGM being held on 30th May 2007 approves the payment of a final net dividend of Lm 0.05c0 per share. The final dividend will be paid on the 6th of June, 2007 to all shareholders who are on the shareholders’ register as at Monday the 30th of April 2007.

 

 

March 2007

 

30th March - The Board of Directors of Medserv plc approved the financial statements for the period ended 31 December 2006 and resolved that they be submitted for the approval of the shareholders at the forthcoming AGM. The Board of Directors is proposing that the AGM approves the payment of a net dividend of Lm0.0206 per share.

 

22nd March - The Board of Directors of Lombard Bank plc is proposing a final Gross Dividend of 12c5 per share for approval of the AGM. The Board will also be recommending that shareholders be given the option of receiving the dividend either in cash or by the issue of new shares. The attribution price (at which the new

shares to be issued will be determined) has been established as the trade weighted average price of the Bank’s shares for the three months up to and including the 8 March 2007. If approved by the AGM, the dividend will be paid to all shareholders who are registered members on the 23 March 2007.

The net dividend being proposed amounts to 8.125 cents per Ordinary share; The dividend payment date will be 7th May 2007; The attribution price will be Lm5.233 per Ordinary share.

 

20th March - The Board of Directors of Plaza Centres p.l.c. approved the Company’s Final Audited Accounts for the financial year ended 31 December 2006 and declared a final gross dividend of 4c7 per share (3c06 net) to be recommended to the company’s shareholders at the forthcoming AGM. The dividend will be paid to shareholders on the Company Register as on 26th March 2007.

 

8th March – Lombard Bank AGM.

 

2nd March - Maltacom p.l.c. announced that its subsidiary company Monitoring Services Limited is to be merged with Maltacom p.l.c.

 

2nd March – The Board of Directors of Maltacom plc are scheduled to meet on Monday 2nd April 2007 to consider and approve the Company’s Final Audited Accounts for the financial year ended 31st December 2006 and to consider declaration of a final dividend to be recommended to the Company’s Annual General Meeting.

 

1st March - The Board of Directors of Malta International Airport plc shall be approved the financial results for the year ended 31st December 2006 and will be proposing that the AGM approves the payment of a gross dividend of Lm0.0338.

 

 

February 2007

21st February – The FIMBank Board of Director held its AGM in Kuwait City, during which they approved the Audited Financial Statements for the financial year ended 31st December 2006, and recommended a scrip dividend of US$0.035244 per ordinary share. The latter goes ex-dividend on 28th February 2007

 

19th February – The Board of Directors of HSBC Bank Malta p.l.c. approved the Preliminary Statement of annual results for the financial year ended 31 December 2006. The Board of Directors resolved to recommend that the AGM to be held on 19 April 2007 approves the payment of a final ordinary dividend of 5.3 cents gross per share (3.45 cents net of tax) and a special dividend of 5.3 cents gross per share (3.45 cents net of tax), giving a total final dividend of 10.6 cents gross per share (6.9 cents net of tax). This will be paid on 21 April 2007 to shareholders who are on the company’s register of shareholders as at 2 March 2007.

 

16th February - The Board of Directors of HSBC Bank Malta plc will be meeting to consider and approve the Group’s and the Bank’s Final Audited Accounts for the financial year ended 31 December 2006 and to consider the declaration of a final dividend to be recommended to the Bank’s AGM.

 

13th February – Following the announcement of 31st January, Medserv plc announced that it has concluded negotiations with Misurata Free Zone in Libya, and a joint stock company by the name of Medserv Misurata FZC has been submitted for registaration with the MFZ.

 

1st February – Datatrak IT Services Ltd, a subsidiary of Datatrak Holdings plc, has partnered with Medcomms Ltd, to offer Malta based maps for satellite navigation, using GARMIN’s GPS technology. The satellite navigation for driving in Malta and Gozo is expected to be available as from 28th March 2007.

 

January 2007

31st January – International Hotels Investments plc held an Extraordinary General Meeting during which five resolutions put forward were approved.

 

31st January – Medserv plc announced that it has entered into a Memorandum of Understanding with Misurata Free Zone.

 

26th January - Lombard Bank Malta plc announced that Mr. Stefano Loffredi has been appointed Director to the Board of Directors of the Bank with effect from 4th January 2007.

 

18th January - The Board of Directors of Suncrest Hotels plc approved the Company’s Financial Statements and the Preliminary Profit Statement for the year ended 31st October 2006.

 

10th January - HSBC Bank Malta plc announced that it published a Prospectus dated today in respect of an issue of Lm20,000,000 4.6% Bonds or €46,600,000 4.6% Bonds of a nominal value of Lm100 / €100 per Bond issued at par subject to an Over-allotment Option not exceeding in aggregate Lm5,000,000 or € 11,700,000 in value in any one or a combination of the Bonds. Application has been made to the Listing Authority for the admissibility of the Bonds to listing and to the Malta Stock Exchange for the Bonds to be listed and traded on its Official List.

 

9th January - FIMBank plc announced that Kuwaiti Interests for Financial Investments, K.S.C.C., one of its qualifying shareholders, has changed its name to Massaleh Investments K.S.C.C.

 

4th January - Lombard Bank Malta p.l.c. announced that Mr. Stefano Loffredi has been appointed to the Board of Directors of the Bank with immediate effect.

 

3rd January – Middlesea Insurance plc announced that Mr Francis Xerri de Caro has ceased to be a director of the Company with effect from 1st January 2007.

 

3rd January – Middlesea Insurance plc subscribed for its 89.98% of the issued share capital equivalent to EUR3,599,200 consisting of shares of a nominal value of EUR0.01 each fully paid up up from an issue of EUR4million of EUR0.01 each in Progress Assicurazioni SpA. These shares were allotted on 29 December 2006 to existing shareholders on a pro rata basis. The Company has thus retained its shareholding in this unlisted company at the 89.98% level previously held.
